THREE VACANCIES ON THE MFC BOARD THIS YEAR

Mohan Jesudason and Steve Morris are required to step down from the MFC Board before the next AGM, and Brad Green’s first three-year term also expires, so there will be three vacancies to be filled on the 8 person MFC Board later this year.

Our Deemocracy group is determined that qualified, genuine red and blue candidates fill these three positions.

At the AGM on 20 February 2023, we were delighted that 45.7% of members voted in favour of our Members’ Resolution that the MFC should conduct fair, open and transparent elections.

This result was achieved in the face of the Board’s advice to members to vote AGAINST the resolution.

When questioned on the matter at the AGM  (question time was not live-streamed) the President gave no assurance that future elections would be fair, open and transparent. Essentially the President said that if members don’t like who the Board has chosen – members are free to nominate.

The Board’s practice in each of the prior three years has been to fill retirements from the Board, immediately prior to the director nomination period opening. This sends a clear message to members that the Board has decided who shall be on the Board ‘it is our Club, not your club’. Other candidates of course can nominate, but they are then confronted with Election Rules which do not allow them to openly seek members’ votes. We’re the only Victorian Club that has such a rule. Last year the Board then endorsed the three incumbents via an email to all members in the last week of voting.

We want MFC members to consider NOW whether they, or MFC members they know, are willing to nominate for the MFC Board.

It is our intention to identify excellent candidates early in the process to achieve the best possible outcome for the Club.

With the two retirements mentioned above, the Board loses the Chair of the Nominations and Remuneration (N&R) Committee (Mohan) and the Chair of the Investment Sub Committee (Steve), a critical role now that our Future Fund has been established. Steve was also a member of Mohan’s N&R Committee and a member of the FundRaising Working Group.

The Board’s Credentials Statement on the website also indicates that the Board requires additional skills in the ‘Stakeholder Engagement and Marketing and Communications Area’. We agree.
